Terms of Use

These Terms of Use (the "Terms") govern access to and use of the website https://waydot.mx, the waydot field operations platform (web console, field staff mobile app, customer portal, API and integrations) and related services (together, the "Services") provided by [RAZÓN SOCIAL], S.A.P.I. de C.V. ("waydot", "we" or "us"), domiciled at [Calle y número, colonia, código postal, alcaldía o municipio, entidad federativa], México, Mexican taxpayer ID (RFC) [RFC].

By creating an account, ticking the acceptance box, signing an order form or using the Services, you consent to these Terms by electronic means under articles 1803 and 1834 Bis of the Mexican Federal Civil Code and articles 89 to 94 of the Mexican Commercial Code. If you do not agree to them, you must not use the Services.

1. Scope

1.1. Customer. The legal entity, or individual carrying on a business, that subscribes to the Services (the "Customer"). Anyone accepting these Terms on behalf of a company represents that they are authorized to bind it.

1.2. Users. The people to whom the Customer grants access, such as administrators, dispatchers, supervisors, field staff and, where applicable, contacts of the Customer's own clients who use the portal (the "Users"). The Customer is responsible for ensuring that its Users are aware of and comply with these Terms and the Acceptable Use Policy.

1.3. Visitors. Sections 2, 7, 8, 11 and 14 apply to anyone who only browses the website.

1.4. Business use. The Services are intended for businesses and not for personal, family or household use. Where the Mexican Federal Consumer Protection Law applies, these Terms do not limit the non-waivable rights granted by that law.

2. Contract documents

The relationship with the Customer is governed by the following documents, in the order of precedence listed:

  1. The order form, accepted quote or online subscription stating the plan, number of users, price and term (the "Order").
  2. The Subscription Agreement.
  3. The Data Processing Agreement.
  4. The Service Level Agreement.
  5. The Acceptable Use Policy.
  6. These Terms.

Processing of the personal data for which waydot is the controller is described in the Privacy Notice. Use of the field app is also governed by the Mobile App License.

3. Accounts and access

3.1. The Customer creates a workspace and appoints at least one administrator. Registration details must be accurate and kept up to date.

3.2. Access credentials are personal and non-transferable. Each User must have their own account, and accounts may not be shared. The Customer acknowledges that when an account is shared, entries in the activity log cannot be attributed to a specific person.

3.3. The Customer must enable the available security controls that are reasonable for its operations, such as two-factor authentication, and notify us immediately at [email protected] if it suspects unauthorized access.

3.4. We may suspend an account in the circumstances set out in section 9.

4. The Services

4.1. Description. waydot is a software-as-a-service platform for managing field operations, covering tickets and dispatch, field execution with evidence, attendance, expenses and payroll, assets and inventory, quality and safety, and reporting. The modules available depend on the plan purchased, as described on the pricing page and in the Order.

4.2. Changes. We may change the features of the Services, provided that the core functionality of the purchased plan is not materially reduced during a paid period. Material changes will be announced at least 30 calendar days in advance.

4.3. Artificial intelligence and automation features. Some features suggest assignments, estimate the risk of an SLA breach, draft text or answer questions. Their output consists of suggestions. The Customer is responsible for reviewing that output before acting on it and for making the final decision, particularly in employment, payroll, safety or disciplinary matters.

4.4. Third-party services. Maps, traffic information, payments, CFDI stamping, notifications and other integrations depend on external providers, which are responsible for their availability and their own terms. The current list is published under Subprocessors.

4.5. Trials and preview features. Free trials and features labeled "beta" or "preview" are provided as is, may be changed or withdrawn, and are not covered by the Service Level Agreement.

5. Customer Data

5.1. Ownership. Data that the Customer and its Users enter into or generate in the Services, such as tickets, evidence, locations, attendance records, employee files and inventories (the "Customer Data"), is owned by the Customer.

5.2. Processor role. With respect to personal data contained in Customer Data, the Customer is the controller (responsable) and waydot is the processor (encargado) under the Mexican Federal Law on the Protection of Personal Data Held by Private Parties ("LFPDPPP") and the Data Processing Agreement. waydot will process that data only to provide, secure and improve the Services, in accordance with the Customer's instructions.

5.3. Customer obligations. The Customer represents that it has a legal basis to collect that data, that it has made its own privacy notice available to its workers and other data subjects (including, where applicable, the use of geolocation during working hours) and that it has obtained the express consent required by law to process sensitive, financial or asset-related data.

5.4. Statistical information. We may compile statistical, aggregated information about use of the Services that does not identify the Customer or any individual, for the operation, security and improvement of the platform.

5.5. Export and return. The Customer may export its data from the console at any time. On termination of the relationship, retention and deletion of the data are governed by the Subscription Agreement.

6. Prices, invoicing and taxes

Current prices are published at https://waydot.mx and are stated per active user and per period. Unless the Order provides otherwise, prices in Mexican pesos exclude Value Added Tax (IVA), which will be added as required by law. An electronic tax invoice (CFDI) will be issued for each payment. Billing, renewal, cancellation and refund terms are set out in the Subscription Agreement.

7. Intellectual property

7.1. The software, design, waydot trademarks, logos, documentation and website content are owned by waydot or its licensors and are protected by the Mexican Federal Copyright Law and the Federal Law for the Protection of Industrial Property.

7.2. During the subscription term, waydot grants the Customer a limited, non-exclusive, non-transferable and revocable license for its Users to use the Services for the internal purposes of its business. These Terms do not transfer any other right to the Customer.

7.3. Suggestions and feedback the Customer provides about the Services may be used to improve them without any payment obligation. This does not authorize waydot to use the Customer's confidential information.

8. Website content

Website and blog content is provided for information purposes only. Sample figures, return-on-investment calculators and illustrative cases are estimates and do not constitute an offer or a guarantee of results. Links to third-party sites are included for reference and do not imply endorsement by waydot.

9. Suspension and termination

9.1. We may suspend access, in whole or in part, where: (a) there is a current risk to the security or integrity of the Services or to third parties; (b) a competent authority orders it; (c) the Acceptable Use Policy is breached or the Services are used unlawfully; or (d) there are overdue amounts under the Subscription Agreement. Except in urgent cases, we will give prior notice and limit the suspension to what is necessary.

9.2. Either party may terminate the relationship as provided in the Subscription Agreement. Provisions on data, intellectual property, limitation of liability, confidentiality and jurisdiction survive termination.

10. Warranties and liability

10.1. waydot will provide the Services with professional diligence and in accordance with the documentation and the Service Level Agreement. To the extent permitted by law, waydot gives no implied warranties other than those expressly agreed.

10.2. The limits of liability between waydot and the Customer are set out in the Subscription Agreement. Those limits do not apply in cases of fraud or bad faith, or where the law prohibits them.

11. Electronic communications

The Customer agrees to receive notices relating to the Services by email or through the platform, which take effect when sent to the registered address. Data messages, acceptance records and logs generated by the Services may be submitted as evidence under the Mexican Commercial Code. Where so agreed, acceptance records for these Terms will be kept in accordance with NOM-151-SCFI-2016.

12. Amendments to these Terms

We may amend these Terms for legal, security or product reasons. The new version will be published with its date and, if the change is material, administrators will be notified at least 30 calendar days in advance. If the Customer does not agree, it may terminate the subscription without penalty before the change takes effect. Use of the Services after that date constitutes acceptance of the new version.

13. General provisions

13.1. Assignment. The Customer may not assign its rights without waydot's prior written consent. waydot may assign the relationship to a group company or to a successor in a merger, spin-off or sale of the business, with prior notice to the Customer.

13.2. Force majeure. Neither party is liable for a failure to perform caused by events beyond its reasonable control, under article 2111 of the Federal Civil Code.

13.3. Severability. If any provision is held invalid, the remaining provisions remain in force.

13.4. Language. These Terms are drafted in Spanish. This English translation is provided for reference only and, in case of any discrepancy, the Spanish version prevails.

14. Governing law and jurisdiction

These Terms are governed by the federal laws of the United Mexican States. For their interpretation and enforcement, the parties submit to the jurisdiction of the competent courts of Ciudad de México and waive any other venue that may apply by reason of their present or future domicile. Before going to court, the parties will attempt to resolve the dispute in good faith for 30 calendar days from the date one of them gives the other written notice of it.
